Vendor Terms
hese Vendor Terms & Conditions (“Agreement”) govern the relationship between ChatsFlow (“Company”, “We”, “Us”) and vendors, resellers, or partners (“Vendor”, “You”). By registering as a Vendor with ChatsFlow, you agree to abide by these Terms.
1. Vendor Eligibility
Vendors must be legally registered businesses or authorized individuals.
Vendors must provide accurate company details, tax registration numbers, and banking details for payouts.
2. Scope of Work
Vendors may resell, promote, or distribute ChatsFlow products and services including WhatsApp Business API, chatbot, and automation solutions.
Vendors shall operate under their own brand or under ChatsFlow’s authorization, as agreed in writing.
3. Pricing & Payments
ChatsFlow will provide wholesale/vendor pricing for services.
Vendors may add their own margins when selling to clients.
Payment terms:
Vendors must clear invoices as per agreed timelines.
Late payments may result in service suspension.
All payments to Vendors (if commissions are applicable) will be processed monthly after reconciliation.
4. Compliance with Policies
Vendors must comply with WhatsApp Business Policy and Meta’s Commerce & Data Guidelines.
Vendors shall not promote illegal, abusive, or misleading content through ChatsFlow services.
Vendors are responsible for ensuring that end clients follow compliance rules.
5. Intellectual Property
ChatsFlow retains ownership of all trademarks, logos, and proprietary technology.
Vendors may only use ChatsFlow branding/materials with prior written approval.
Unauthorized reproduction, modification, or reverse engineering of the platform is prohibited.
6. Data Privacy
Vendors shall handle customer and client data responsibly.
Vendors must not misuse or sell customer data collected via ChatsFlow services.
Any data breach must be reported to ChatsFlow within 24 hours.
7. Support & Responsibilities
ChatsFlow will provide technical support for the platform.
Vendors are responsible for client-side support, onboarding, and billing unless otherwise agreed.
8. Liability & Indemnity
ChatsFlow is not responsible for:
Losses due to WhatsApp account suspensions or restrictions,
Misuse of services by Vendor’s clients,
Indirect, incidental, or consequential damages.
Vendors agree to indemnify ChatsFlow against claims arising from Vendor’s misuse or violation of laws.
9. Termination
Either party may terminate this Agreement with 30 days written notice.
ChatsFlow may terminate immediately if the Vendor:
Engages in fraudulent activity,
Fails to comply with WhatsApp/Meta policies, or
Breaches these Terms.
10. Amendments
ChatsFlow reserves the right to modify these Terms & Conditions at any time.
Continued partnership implies Vendor’s acceptance of updated Terms.
11. Governing Law
This Agreement is governed by the laws of India.
Any disputes will be subject to the jurisdiction of Courts.
